David Michail was retained by one of California's largest three utility companies to advise in-house counsel regarding three technology transfer transactions with private VC-backed entities. This engagement involved sophisticated licensing of technologies from the client's patent portfolio to private parties which also implicated the issuance of securities and capital investment. Additionally, the transactions were subject to various CPUC regulatory restrictions which made them particularly complex in terms of structuring. Mr. Michail’s intellectual property and securities experience proved instrumental in the successful negotiation of these transactions.
